We have received a term sheet for an equity investment in our new venture. Unfortunately the term sheet did not leave the founders with the equity we hoped to retain. The investor invited us to come back with a proposal to allow the founders to earn more equity based on certain milestones (in this case probably the company's equity value) I'm having a hard time thinking about how to put this together and looking for someone with experience in the matter to help me brainstorm and put something together.
